Terms of Use

These Terms of Use (“Terms”) are a legal agreement between you and Midway (“Midway,” “we,” “us”) and govern your access to and use of our website and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.

2. The Service

Midway provides a platform to connect data and build internal applications. The Service is currently offered in beta and is provided “as is” and “as available.” We are actively developing it and may add, change, or remove features at any time.

3. Your account

You are responsible for the activity under your account and for keeping your login secure. Provide accurate information when you sign up, keep it current, and notify us promptly at support@usemidway.com if you believe your account has been compromised. We use passwordless sign-in (email codes and Google), so protecting access to your email and Google account is important.

4. Acceptable use

You agree not to:

  • use the Service in violation of any law, or to infringe the rights of others;
  • access the Service without authorization, or probe, scan, or breach its security;
  • interfere with or disrupt the Service, or place an unreasonable load on it;
  • reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
  • upload malware, or use the Service to store or transmit unlawful, harmful, or infringing content;
  • use the Service to send spam or unsolicited messages, or to harass others;
  • resell or provide the Service to third parties except as expressly allowed.

We may investigate and take appropriate action, including suspending or terminating accounts, for violations.

5. Your content and data

You retain ownership of the data, applications, and other content you create or upload through the Service (“Your Content”). You grant us a limited, non-exclusive license to host, store, process, and display Your Content solely as needed to operate and provide the Service to you. You are responsible for Your Content, for having the rights and permissions necessary to use it with the Service, and for complying with all laws that apply to it (including privacy and data-protection laws for any personal information it contains).

6. Our intellectual property

The Service — including its software, design, text, and trademarks — is owned by Midway and protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or to use the Service other than as expressly permitted here. All rights not expressly granted are reserved.

7. Third-party services

The Service may let you connect to or interact with third-party services (for example, data sources you integrate). We are not responsible for third-party services, and your use of them is subject to their own terms and policies.

8. Fees, billing, and refunds

The Service is currently free during beta. If we introduce paid plans, we will present the applicable prices and terms before you subscribe, and you won’t be charged without agreeing to them. Paid plans are billed on a recurring subscription basis and renew automatically until cancelled; payments are processed by Stripe. You can cancel at any time, and your plan remains active through the end of the current billing period. Except where required by law, fees are non-refundable. 9. Feedback

If you send us feedback or suggestions, you grant us the right to use them without restriction or any obligation to you.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, and we may delete Your Content in accordance with our Privacy Policy. Provisions that by their nature should survive termination will survive.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, Midway will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred U.S. dollars (US$100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Midway from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we’ll update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. Any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction. Before filing anything, we encourage you to contact us at support@usemidway.com so we can try to resolve the matter informally.

16. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Midway regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
